\u00a7 1 Scope of Application<\/p>\n

1.1<\/p>\n

These General Terms and Conditions, hereinafter referred to as \u201eGTC,\u201c apply to all contracts between the<\/p>\n

J&N PALABRAS UG (limited liability)<\/p>\n

69115 Heidelberg<\/p>\n

hereinafter referred to as \u201eJ&N PALABRAS\u201c or \u201eContractor,\u201c,<\/p>\n

and companies, institutions, clinics, hospitals, medical practices, long-term care facilities, and other commercial or institutional clients, hereinafter referred to as \u201eClients.\u201c.<\/p>\n

1.2<\/p>\n

J&N PALABRAS provides services primarily in the field of international recruitment and the related organizational and technical support.<\/p>\n

These may include, in particular:<\/p>\n

\u2022 Identification and pre-selection of international professionals,<\/p>\n

\u2022 Recruiting and candidate management,<\/p>\n

\u2022 Presentation of suitable candidate profiles,<\/p>\n

\u2022 Organizing and coordinating job interviews,<\/p>\n

\u2022 Assistance with communication between candidates and employers,<\/p>\n

\u2022 Assistance with recognition and qualification procedures,<\/p>\n

\u2022 Assistance with visa and entry procedures,<\/p>\n

\u2022 preparation in general and specialized language,<\/p>\n

\u2022 intercultural preparation,<\/p>\n

\u2022 Onboarding,<\/p>\n

\u2022 Relocation assistance,<\/p>\n

\u2022 organizational support for integration,<\/p>\n

\u2022 as well as other services agreed upon on an individual basis.<\/p>\n

1.3<\/p>\n

The specific scope of the services to be provided is set forth in the relevant offer, individual contract, statement of work, or other individual agreement.<\/p>\n

1.4<\/p>\n

These Terms and Conditions apply exclusively to business entities as defined in Section 14 of the German Civil Code (BGB), unless otherwise expressly agreed.<\/p>\n

1.5<\/p>\n

Individual agreements between J&N PALABRAS and the client take precedence over these Terms and Conditions.<\/p>\n

\u00a7 2 Conclusion of the Contract<\/p>\n

2.1<\/p>\n

The description of services on the J&N PALABRAS website does not constitute a binding offer to enter into a contract.<\/p>\n

2.2<\/p>\n

A contract is formed through the written or text-based acceptance of an offer, through the signing of an individual contract, or through any other unambiguous agreement between J&N PALABRAS and the client.<\/p>\n

2.3<\/p>\n

J&N PALABAS reserves the right to reject offers from the client.<\/p>\n

2.4<\/p>\n

If an offer specifies a certain acceptance period, it is valid only within that period.<\/p>\n

\u00a7 3 Scope of the Recruitment Service<\/p>\n

3.1<\/p>\n

J&N PALABAS assists clients in finding, selecting, and recruiting international professionals.<\/p>\n

3.2<\/p>\n

These services may include, in particular, the search for suitable candidates, pre-screening, the preparation of applicant profiles, and the coordination of the rest of the application process.<\/p>\n

3.3<\/p>\n

J&N PALABAS generally does not guarantee a specific recruitment outcome, unless a specific success-based outcome has been expressly agreed upon.<\/p>\n

3.4<\/p>\n

The final decision regarding the hiring of a candidate rests solely with the client.<\/p>\n

3.5<\/p>\n

The client is solely responsible for verifying a candidate\u2019s professional, personal, and legal suitability for the specific position, unless such verification has been expressly agreed upon as a service to be provided by J&N PALABAS.<\/p>\n

\u00a7 4 Candidate Introduction<\/p>\n

4.1<\/p>\n

A candidate profile is based on the information and documents available at that time.<\/p>\n

4.2<\/p>\n

J&N PALABAS strives to conduct a careful pre-selection process based on the requirements provided by the client.<\/p>\n

4.3<\/p>\n

The presentation of a candidate does not constitute a guarantee of the candidate's actual suitability, long-term employability, or continued availability.<\/p>\n

4.4<\/p>\n

The Client agrees to treat the information provided by J&N PALABAS as confidential and to use it exclusively for the purposes of the respective application and hiring process.<\/p>\n

\u00a7 5 Protection of Candidates and Prohibition on Disclosure<\/p>\n

5.1<\/p>\n

The candidate information received from the client may be used solely for the purpose agreed upon with J&N PALABAS.<\/p>\n

5.2<\/p>\n

The client may not disclose candidate profiles or personal information to third parties without the prior consent of J&N PALABAS, unless such disclosure is necessary for the conduct of the agreed-upon application process and is permitted under data protection laws.<\/p>\n

5.3<\/p>\n

Disclosure to companies affiliated with the client is permitted only if this has been expressly agreed upon or if the specific purpose of the contract includes such disclosure.<\/p>\n

5.4<\/p>\n

The client must comply with the applicable data protection regulations.<\/p>\n

\u00a7 6 Conclusion of the Contract Between the Client and the Candidate<\/p>\n

6.1<\/p>\n

The employment contract between the client and the candidate is entered into exclusively between these parties.<\/p>\n

6.2<\/p>\n

J&N PALABAS does not, as a general rule, become a party to the employment relationship by entering into an employment contract.<\/p>\n

6.3<\/p>\n

J&N PALABAS assumes no employer obligations toward the placed candidate, unless an agreement to the contrary has been expressly made.<\/p>\n

6.4<\/p>\n

The respective contracting parties are solely responsible for the content, implementation, and termination of the employment relationship.<\/p>\n

\u00a7 7 Compensation<\/p>\n

7.1<\/p>\n

J&N PALABAS's compensation is based solely on the respective offer or individual contract.<\/p>\n

7.2<\/p>\n

Since the specific compensation depends on the agreed-upon scope of services, no fixed prices are listed in these Terms and Conditions.<\/p>\n

7.3<\/p>\n

To the extent that additional services are not included in the original contract, they may be billed separately upon prior agreement.<\/p>\n

7.4<\/p>\n

Statutory sales tax, if applicable, will be charged separately, unless otherwise specified in the respective offer.<\/p>\n

7.5<\/p>\n

Invoices are due without deduction within the payment period specified on the respective invoice.<\/p>\n

\u00a7 8 Compensation Provisions Upon Termination of Employment<\/p>\n

8.1<\/p>\n

To the extent that a substitute provision has been agreed upon in the respective individual contract, only the provision set forth therein shall apply.<\/p>\n

8.2<\/p>\n

A substitute benefit is contingent upon the conditions specified in the individual contract being met.<\/p>\n

8.3<\/p>\n

In particular, there is no right to compensation if the termination of the employment relationship is due to circumstances for which the client is responsible.<\/p>\n

These may include, in particular:<\/p>\n

\u2022 termination for business reasons,<\/p>\n

\u2022 a significant change to the agreed-upon working conditions by the employer,<\/p>\n

\u2022 Failure to pay or a significant delay in paying the agreed-upon compensation,<\/p>\n

\u2022 a material breach of obligations under the employment contract by the employer,<\/p>\n

\u2022 Closure or major restructuring of the facility,<\/p>\n

\u2022 or other circumstances within the client's sphere of responsibility.<\/p>\n

8.4<\/p>\n

A substitute provision does not result in a refund of payments already made, unless otherwise expressly agreed in the individual contract.<\/p>\n

8.5<\/p>\n

A claim for compensation is excluded if the contractually agreed conditions are not met or if the client has failed to fulfill its obligations to cooperate.<\/p>\n

\u00a7 9 Client's Obligations to Cooperate<\/p>\n

The Client agrees, in particular, to,<\/p>\n

1. J&N PALABAS must provide complete and accurate information regarding the position to be filled;<\/p>\n

2. to provide information regarding requirements for qualifications, work experience, and language skills;<\/p>\n

3. provide relevant information about the work location, work hours, job duties, and other essential terms and conditions of employment;<\/p>\n

4. Provide candidates with prompt feedback;<\/p>\n

5. to keep scheduled job interviews and appointments;<\/p>\n

6. to provide the necessary documents and information in a timely manner;<\/p>\n

7. To notify J&N PALABAS immediately of any changes to the open position;<\/p>\n

8. Comply with the legal requirements of labor, immigration, data protection, and antidiscrimination laws.<\/p>\n

\u00a7 10 Obligations Regarding Foreign Skilled Workers<\/p>\n

10.1<\/p>\n

The client agrees not to discriminate against international professionals on the basis of their origin, nationality, ethnicity, religion, or other protected characteristics.<\/p>\n

10.2<\/p>\n

The client is responsible for complying with the labor law requirements for employing a candidate.<\/p>\n

10.3<\/p>\n

To the extent that the practice of a profession requires certification, a professional license, a medical license, or any other form of authorization, the client may employ the candidate only to the extent permitted by law.<\/p>\n

10.4<\/p>\n

J&N PALABAS can assist the client with the relevant procedures. The responsibility for complying with legal employment requirements remains with the client.<\/p>\n

\u00a7 11 Visas, Residence, and Recognition<\/p>\n

11.1<\/p>\n

J&N PALABAS can provide organizational support to clients and candidates in visa, residency, and certification procedures.<\/p>\n

11.2<\/p>\n

The decision regarding the issuance of a visa, residence permit, work permit, medical license, or professional certification rests solely with the competent authority or institution.<\/p>\n

11.3<\/p>\n

J&N PALABAS does not guarantee a favorable decision or a specific processing time.<\/p>\n

11.4<\/p>\n

The client agrees to provide the necessary documents and statements within a reasonable timeframe.<\/p>\n

\u00a7 12 Confidentiality<\/p>\n

12.1<\/p>\n

The Client agrees to treat as confidential all information regarding J&N PALABAS, its business partners, and candidates that is not publicly available.<\/p>\n

12.2<\/p>\n

This obligation applies in particular to candidate profiles, personal data, internal processes, concepts, and other business documents.<\/p>\n

12.3<\/p>\n

This obligation does not apply to information that is already in the public domain or that must be disclosed due to legal requirements.<\/p>\n

\u00a7 13 Data Protection<\/p>\n

13.1<\/p>\n

J&N PALABAS processes personal data in accordance with legal requirements.<\/p>\n

13.2<\/p>\n

For its part, the Client agrees to comply with the General Data Protection Regulation and other applicable data protection regulations.<\/p>\n

13.3<\/p>\n

To the extent that J&N PALABAS processes personal data on behalf of the client, the necessary data protection agreements\u2014in particular, a data processing agreement\u2014will be entered into separately, provided that such agreements are required by law.<\/p>\n

\u00a7 14 Liability<\/p>\n

14.1<\/p>\n

J&N PALABAS shall be fully liable for damages resulting from intentional or grossly negligent conduct on the part of J&N PALABAS, its legal representatives, or its agents.<\/p>\n

14.2<\/p>\n

Statutory provisions apply to damages resulting from injury to life, body, or health.<\/p>\n

14.3<\/p>\n

In the event of a breach of material contractual obligations due to slight negligence, J&N PALABAS shall be liable only for damages that are typical for this type of contract and foreseeable.<\/p>\n

14.4<\/p>\n

Furthermore, liability for acts of slight negligence is excluded to the extent permitted by law.<\/p>\n

14.5<\/p>\n

In particular, J&N PALABAS shall not be liable for decisions or delays on the part of government agencies, embassies, consulates, accreditation bodies, or other third parties, insofar as J&N PALABAS is not responsible for them.<\/p>\n

\u00a7 15 Termination<\/p>\n

15.1<\/p>\n

The termination of a contract is governed by the terms of the specific contract and applicable laws.<\/p>\n

15.2<\/p>\n

The right to terminate the contract for cause remains unaffected.<\/p>\n

15.3<\/p>\n

Services already rendered shall be billed up to the date of termination in accordance with the contractual agreement.<\/p>\n

\u00a7 16 Set-off and Rights of Retention<\/p>\n

The client may set off only undisputed or legally enforceable claims, to the extent permitted by law.<\/p>\n

A right of retention may be exercised only to the extent that the counterclaim arises from the same contractual relationship and is permitted by law.<\/p>\n

\u00a7 17 Jurisdiction<\/p>\n

If the client is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from the contractual relationship shall be the registered office of J&N PALABAS in Heidelberg, to the extent permitted by law.<\/p>\n

Mandatory statutory jurisdictions remain unaffected.<\/p>\n

\u00a7 18 Governing Law<\/p>\n

All contractual relationships are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods, to the extent permitted by law.<\/p>\n

\u00a7 19 Severability Clause<\/p>\n

Should any provision of these Terms and Conditions be or become invalid or unenforceable, in whole or in part, the validity of the remaining provisions shall remain unaffected.<\/p>\n

The statutory provisions shall apply in place of the invalid or unenforceable provision.<\/p>\n

\u00a7 1 Scope of Application<\/p>\n

1.1<\/p>\n

These Terms and Conditions apply to the business relationship between the<\/p>\n

J&N PALABRAS UG (limited liability)<\/p>\n

hereinafter referred to as \u201eJ&N PALABAS,\u201c,<\/p>\n

and individuals who contact J&N PALABAS in connection with job searches, vocational integration, or related services, or who make use of such services.<\/p>\n

Hereinafter, these individuals will be referred to as \u201ecandidates.\u201c.<\/p>\n

1.2<\/p>\n

J&N PALABAS's services may include, in particular:<\/p>\n

\u2022 Support with career guidance,<\/p>\n

\u2022 Collection and processing of applicant profiles,<\/p>\n

\u2022 Search for suitable employers,<\/p>\n

\u2022 Introductions to potential employers,<\/p>\n

\u2022 Assistance with job applications,<\/p>\n

\u2022 Preparing for job interviews,<\/p>\n

\u2022 preparation in general and specialized language,<\/p>\n

\u2022 intercultural preparation,<\/p>\n

\u2022 Assistance with recognition procedures,<\/p>\n

\u2022 Organizational support for visa and residency procedures,<\/p>\n

\u2022 Assistance with entry,<\/p>\n

\u2022 Onboarding,<\/p>\n

\u2022 Relocation,<\/p>\n

\u2022 as well as other support services agreed upon on an individual basis.<\/p>\n

1.3<\/p>\n

The specific scope of services is set forth in the respective individual contract, quote, or agreement.<\/p>\n

\u00a7 2 Costs and Compensation<\/p>\n

2.1<\/p>\n

Whether the candidate incurs any costs, and to what extent, depends solely on the specific individual agreement.<\/p>\n

2.2<\/p>\n

The J&N PALABAS website does not make any blanket price promises for all services.<\/p>\n

2.3<\/p>\n

To the extent that the candidate is required to pay a fee, the amount, the scope of services, and the payment terms will be clearly communicated prior to the conclusion of the contract.<\/p>\n

2.4<\/p>\n

To the extent that an employer or other third party covers the costs of services provided to the candidate, the candidate shall have no obligation to pay, unless this has been expressly agreed upon.<\/p>\n

2.5<\/p>\n

Statutory sales tax, to the extent it is applicable, is accounted for in accordance with statutory provisions.<\/p>\n

\u00a7 3 Recruitment and Employer Profiles<\/p>\n

3.1<\/p>\n

J&N PALABAS helps candidates find suitable career opportunities.<\/p>\n

3.2<\/p>\n

J&N PALABAS may share candidate profiles with potential employers to the extent permitted by applicable consent or another appropriate legal basis.<\/p>\n

3.3<\/p>\n

As a general rule, the candidate decides for himself or herself whether to accept a specific job offer.<\/p>\n

3.4<\/p>\n

The final decision regarding hiring rests solely with the respective employer.<\/p>\n

3.5<\/p>\n

J&N PALABAS does not guarantee that:<\/p>\n

\u2022 a specific employer contacts the candidate,<\/p>\n

\u2022 a job interview takes place,<\/p>\n

\u2022 an employment contract is offered,<\/p>\n

\u2022 a certain salary is earned,<\/p>\n

\u2022 a specific position is offered,<\/p>\n

\u2022 or a permanent position is secured.<\/p>\n

\u00a7 4 Information Provided by the Candidate<\/p>\n

4.1<\/p>\n

The candidate agrees to provide J&N PALABAS with complete and truthful information.<\/p>\n

4.2<\/p>\n

This applies in particular to:<\/p>\n

\u2022 Identity and personal information,<\/p>\n

\u2022 Education,<\/p>\n

\u2022 Professional qualification,<\/p>\n

\u2022 Work experience,<\/p>\n

\u2022 Language skills,<\/p>\n

\u2022 Transcripts,<\/p>\n

\u2022 Certificates,<\/p>\n

\u2022 Professional licenses,<\/p>\n

\u2022 Recognition status,<\/p>\n

\u2022 Residence status,<\/p>\n

\u2022 previous employment history,<\/p>\n

\u2022 as well as other information relevant to job placement.<\/p>\n

4.3<\/p>\n

The candidate agrees to promptly report any changes to relevant information.<\/p>\n

4.4<\/p>\n

J&N PALABAS has the right to temporarily suspend or terminate the partnership if it can be proven that material information is false, falsified, or misleading.<\/p>\n

\u00a7 5 Application Materials<\/p>\n

5.1<\/p>\n

The candidate shall provide J&N PALABAS with the documents necessary for the agreed-upon services.<\/p>\n

These may include, in particular:<\/p>\n

\u2022 Resume,<\/p>\n

\u2022 Educational credentials,<\/p>\n

\u2022 Employment references,<\/p>\n

\u2022 Certificates of employment,<\/p>\n

\u2022 Language certificates,<\/p>\n

\u2022 Identification documents,<\/p>\n

\u2022 Proof of work experience,<\/p>\n

\u2022 as well as any other documents required for recognition, visa, or application procedures.<\/p>\n

5.2<\/p>\n

The candidate is responsible for the accuracy and authenticity of the documents he or she submits.<\/p>\n

5.3<\/p>\n

J&N PALABAS reserves the right to request additional documentation, originals, or certified copies in cases of reasonable doubt.<\/p>\n

5.4<\/p>\n

Original documents will be accepted only if they are necessary for the performance of a specifically agreed-upon service. If originals are provided, they will be returned upon completion of the respective transaction, provided there are no legal or contractual reasons preventing such return.<\/p>\n

\u00a7 6 Recognition of Foreign Professional Qualifications<\/p>\n

6.1<\/p>\n

J&N PALABAS can assist candidates with the preparation and organizational aspects of the recognition process.<\/p>\n

6.2<\/p>\n

The decision regarding the recognition of a foreign professional qualification rests solely with the competent authority or institution.<\/p>\n

6.3<\/p>\n

J&N PALABAS therefore cannot guarantee:<\/p>\n

\u2022 full recognition,<\/p>\n

\u2022 a specific recognition level,<\/p>\n

\u2022 the equivalence of a qualification,<\/p>\n

\u2022 a work permit,<\/p>\n

\u2022 a medical license,<\/p>\n

\u2022 or a specific processing time<\/p>\n

take over.<\/p>\n

6.4<\/p>\n

The candidate is required to provide all information and documents necessary for the certification process in a complete and truthful manner.<\/p>\n

6.5<\/p>\n

If incomplete or incorrect documentation results in additional processing steps, the processing time may be extended accordingly.<\/p>\n

\u00a7 7 Visa and Residence Procedures<\/p>\n

7.1<\/p>\n

J&N PALABAS can assist candidates with the organizational preparation and support for visa and residency procedures.<\/p>\n

7.2<\/p>\n

J&N PALABAS is not the competent authority and therefore cannot guarantee the issuance of a visa or residence permit.<\/p>\n

7.3<\/p>\n

The decision to grant a visa, residence permit, or other authorization to reside in the country rests solely with the competent authorities.<\/p>\n

7.4<\/p>\n

The candidate is responsible for providing all requested documents in full and on time and for attending appointments with government agencies.<\/p>\n

7.5<\/p>\n

The candidate must immediately notify J&N PALABAS of any changes to his or her immigration status or other circumstances relevant to the proceedings.<\/p>\n

\u00a7 8 Language and Technical Terminology Preparation<\/p>\n

8.1<\/p>\n

If agreed upon, J&N PALABAS can offer or organize language or technical training.<\/p>\n

8.2<\/p>\n

Success on a specific exam or the attainment of a specific language proficiency level is only guaranteed if this has been expressly agreed upon.<\/p>\n

8.3<\/p>\n

The candidate agrees to participate appropriately in agreed-upon classes, training sessions, or preparatory sessions.<\/p>\n

8.4<\/p>\n

In the event of unexcused absences or repeated failure to attend, the provisions agreed upon in the respective individual contract shall apply.<\/p>\n

\u00a7 9 Introductions to Employers<\/p>\n

9.1<\/p>\n

J&N PALABAS can present the candidate's profile to suitable employers.<\/p>\n

9.2<\/p>\n

A referral is generally made only with the candidate's consent or on some other legally permissible basis.<\/p>\n

9.3<\/p>\n

The candidate is not entitled to be introduced to a specific employer unless this has been expressly agreed upon.<\/p>\n

9.4<\/p>\n

The candidate agrees to attend scheduled interviews and other appointments or to notify J&N PALABAS in a timely manner if unable to attend.<\/p>\n

\u00a7 10 Employment Contract with the Employer<\/p>\n

10.1<\/p>\n

An employment contract is entered into exclusively between the candidate and the respective employer.<\/p>\n

10.2<\/p>\n

J&N PALABAS will not be a party to the employment contract unless otherwise expressly agreed.<\/p>\n

10.3<\/p>\n

The candidate is required to carefully review an employment contract before signing it.<\/p>\n

10.4<\/p>\n

J&N PALABAS can assist with organizational communication and clarifying questions. Individual legal advice is provided only to the extent that J&N PALABAS is legally authorized to do so.<\/p>\n

10.5<\/p>\n

The candidate remains solely responsible for deciding whether to accept a job offer.<\/p>\n

\u00a7 11 Relocation and Onboarding<\/p>\n

11.1<\/p>\n

To the extent agreed upon, J&N PALABAS can assist candidates with organizational matters related to entry into the country, establishing residency, and professional integration.<\/p>\n

11.2<\/p>\n

A specific type of lodging, apartment, amenity, or other service is only required if it has been expressly agreed upon.<\/p>\n

11.3<\/p>\n

J&N PALABAS generally does not guarantee the availability of a rental property or the conclusion of a lease agreement.<\/p>\n

11.4<\/p>\n

Contracts with landlords, insurance companies, cell phone providers, banks, transportation providers, or other third-party companies are entered into exclusively between the candidate and the respective provider.<\/p>\n

\u00a7 12 Candidate's Obligations to Cooperate<\/p>\n

In particular, the candidate agrees to:,<\/p>\n

1. to provide complete and truthful information;<\/p>\n

2. submit the required documents in a timely manner;<\/p>\n

3. Meet deadlines and time limits;<\/p>\n

4. to respond to inquiries from J&N PALABAS in a timely manner;<\/p>\n

5. attend official and other required appointments;<\/p>\n

6. To report any changes in personal circumstances immediately;<\/p>\n

7. Notify J&N PALABAS of any changes regarding education, occupation, residence, or employment;<\/p>\n

8. Comply with the legal requirements of residence, labor, and employment laws.<\/p>\n

\u00a7 13 Termination of the Collaboration<\/p>\n

13.1<\/p>\n

The candidate may terminate the working relationship in accordance with the terms of the applicable individual contract and applicable laws.<\/p>\n

Services already rendered will be billed in accordance with the applicable agreement and legal requirements.<\/p>\n

To the extent that a right of withdrawal exists under law, such statutory rights of withdrawal remain unaffected.<\/p>\n

\u00a7 14 Right of Withdrawal<\/p>\n

14.1<\/p>\n

If the candidate is a consumer and is entitled to a right of withdrawal under applicable law, he or she will be informed of this separately and in the form required by law.<\/p>\n

14.2<\/p>\n

These Terms and Conditions do not exclude or limit the statutory right of withdrawal.<\/p>\n

14.3<\/p>\n

If, at the candidate\u2019s express request, J&N PALABAS begins providing the agreed-upon service before the expiration of the statutory withdrawal period, the statutory provisions governing the early commencement of the service shall apply.<\/p>\n

14.4<\/p>\n

The right of withdrawal expires only under the conditions provided for by law.<\/p>\n

\u00a7 15 Data Protection<\/p>\n

15.1<\/p>\n

J&N PALABAS processes personal data in accordance with applicable data protection laws.<\/p>\n

15.2<\/p>\n

Since personal data, application materials, and, where applicable, information requiring special protection may be processed as part of the application and recruitment processes, J&N PALABAS provides candidates with separate information regarding data processing.<\/p>\n

15.3<\/p>\n

Details can be found in the current J&N PALABAS Privacy Policy.<\/p>\n

15.4<\/p>\n

Applicant data will only be disclosed to potential employers if there is an appropriate legal basis under data protection law.<\/p>\n

\u00a7 16 Confidentiality<\/p>\n

16.1<\/p>\n

The candidate agrees to treat as confidential any information about J&N PALABAS, its employees, business partners, and internal operations that is not publicly available.<\/p>\n

16.2<\/p>\n

This obligation applies in particular to internal documents, proposals, login credentials, and non-public information regarding other candidates or business partners.<\/p>\n

16.3<\/p>\n

Statutory rights and obligations remain unaffected.<\/p>\n

\u00a7 17 Liability<\/p>\n

17.1<\/p>\n

J&N PALABAS shall be fully liable for damages resulting from intentional or grossly negligent conduct on the part of J&N PALABAS, its legal representatives, or its agents.<\/p>\n

17.2<\/p>\n

Statutory provisions apply to damages resulting from injury to life, body, or health.<\/p>\n

17.3<\/p>\n

In the event of a breach of material contractual obligations due to slight negligence, J&N PALABAS shall be liable only for damages that are typical for this type of contract and foreseeable.<\/p>\n

17.4<\/p>\n

Furthermore, liability for acts of slight negligence is excluded to the extent permitted by law.<\/p>\n

17.5<\/p>\n

In particular, J&N PALABAS shall not be liable for decisions or delays on the part of government agencies, embassies, consulates, employers, accreditation bodies, or other third parties, provided that J&N PALABAS is not responsible for such decisions or delays.<\/p>\n

17.6<\/p>\n

Statutory liability claims remain unaffected.<\/p>\n

\u00a7 18 No Guarantee of Professional Success<\/p>\n

18.1<\/p>\n

J&N PALABAS supports candidates in their professional integration and in finding suitable employment opportunities.<\/p>\n

18.2<\/p>\n

However, J&N PALABAS cannot guarantee that:<\/p>\n

\u2022 a specific location is found,<\/p>\n

\u2022 a particular employer hires a candidate,<\/p>\n

\u2022 a certain salary is earned,<\/p>\n

\u2022 a recognition process is successfully completed,<\/p>\n

\u2022 a visa or residence permit is issued,<\/p>\n

\u2022 a license to practice or a medical license is granted,<\/p>\n

\u2022 or a specific professional position is attained.<\/p>\n

18.3<\/p>\n

Unless J&N PALABAS can make such decisions itself, they rest with employers, government agencies, or other third parties.<\/p>\n

\u00a7 19 Set-off and Rights of Retention<\/p>\n

A candidate may set off only undisputed or legally enforceable claims, to the extent permitted by law.<\/p>\n

Statutory rights of retention remain unaffected.<\/p>\n

\u00a7 20 Governing Law<\/p>\n

The contractual relationship is governed by the laws of the Federal Republic of Germany.<\/p>\n

With respect to consumers, this choice of law applies only to the extent that it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the country in which the consumer has his or her habitual residence.<\/p>\n

\u00a7 21 Jurisdiction<\/p>\n

With respect to consumers, the statutory provisions governing the forum apply.<\/p>\n

A jurisdiction agreement is entered into with consumers only to the extent permitted by law.<\/p>\n

\u00a7 22 Severability Clause<\/p>\n

Should any provision of these Terms and Conditions be or become invalid or unenforceable, in whole or in part, the validity of the remaining provisions shall remain unaffected.<\/p>\n

The statutory provisions shall apply in place of the invalid or unenforceable provision.<\/p>\n

\u00a7 23 Final Provisions<\/p>\n

23.1<\/p>\n

Individual agreements between J&N PALABAS and the candidate take precedence over these Terms and Conditions.<\/p>\n

23.2<\/p>\n

For evidentiary purposes, any amendments or additions to the respective individual contract shall be made in writing, unless a more stringent legal form is required.<\/p>\n

23.3<\/p>\n
